Regulatory Disclosures

Comprehensive information about our regulatory status and compliance framework

Offering Exemption

The offering of Class A Membership Interests (the "Interests") by Abilities Finance, LLC (the "Company") is being made in reliance on an exemption from the registration requirements of the Securities Act of 1933, as amended (the "Securities Act"), provided by Section 4(a)(2) thereof and/or Regulation D promulgated thereunder.

This exemption allows us to offer securities to accredited investors and a limited number of sophisticated investors without registering with the SEC, provided certain conditions are met.

No Public Offering

This is not a public offering. The Interests are being offered and sold only to a limited number of "accredited investors" as defined in Rule 501(a) of Regulation D, and other sophisticated investors with whom the Company or its management has a pre-existing substantive relationship.

Accredited investors include individuals with:

  • Net worth exceeding $1,000,000 (excluding primary residence)
  • Annual income exceeding $200,000 ($300,000 jointly) for the past two years
  • Certain professional certifications (Series 7, 65, or 82 licenses)
No Registration

The Interests have not been registered with the U.S. Securities and Exchange Commission (the "SEC") or any state securities commission. The Company is not registered as an investment company under the Investment Company Act of 1940.

This means that the offering has not been reviewed or approved by any regulatory authority. Investors must conduct their own due diligence and consult with their own legal and financial advisors.

Restrictions on Transfer

The Interests are subject to significant restrictions on transfer and resale. Investors may not be able to sell their Interests for an indefinite period. Any transfer of Interests must comply with applicable securities laws and the Company's Limited Liability Company Agreement.

There is no public market for the Interests, and none is expected to develop. Investors should be prepared to hold their investment for the long term.
